Experience and specialism

Our dental solicitors have extensive experience of advising on dental practice purchases. We are members of the association of specialist providers for dentists (ASPD). With over 15 years of practice sale transactions we are among a small number of specialist dental solicitors suitably qualified to deal with complexities of NHS contracts. Sale purchase agreement

Our legal team will ensure the purchase contract offers you the appropriate protection after the sale in the form of ‘warranties and indemnities’. We will liaise with your lenders and other professional advisers to meet any preconditions they might impose. We will assist you with the required CQC applications and ensure the right forms are completed at the right time.

Practice Property

Your practice sale or purchase will involve a commercial property, either freehold or leasehold. Advising on this is a key component of our legal service for dentists. Our commercial property specialist Adrian Tattersley has worked in the commercial property sector of legal services for over 25 years advising businesses large and small, regional and national, companies and public sector bodies. One of the principal causes of delay in a dental practice sale or purchase is failing to get the right CQC applications submitted at the right time. In particular, where the sale includes the transfer of an NHS Contract the requirements of the CQC and NHS England are complex and time consuming. Partnership, Expense Share and Shareholder Agreements

Where a dental practice is under shared ownership the principals often fail to draw up a written agreement setting out key terms as to how ownership of the practice is shared and how the Practice should be run. We can assist with the drafting of a partnership, expense share or shareholders’ agreement and will discuss all areas that need to be included such as the division of profits & losses and how expenses are to be shared, how the retirement of a principal is to be handled and what happens in the event of death or critical illness.

Associate Agreements

A written associate agreement is an essential safe-guard for both principal and associate. A failure to put one in place leads to uncertainty and potential costly disputes. For associates, we can review your proposed agreement to ensure it is even handed and contains no hidden surprises. Issues that we will discuss with you include ensuring the agreement is one of self-employment not employment and UDA Targets and clawbacks for underperformance.
