Legal Support Buying a Practice

Legal
Buying a practice can be a daunting process. We’ve worked on hundreds of transactions and we’re here to support you throughout. If you have found a practice to buy and made a successful offer it is important to have legal advice from the outset. This will ensure that your offer is secured with a reasonable ‘heads of terms’ agreement.
Ultimately our advice ensures that during and after your purchase you are protected in a number of areas. We’ll make sure your sale purchase agreement correctly lists the assets that you’re buying (and those you’re not), deals with the transfer of employees, contains appropriate and fair warranties and indemnities, correctly transfers any relevant NHS contract and contains reasonable binding out provisions. We’ll liaise with your lenders and advisers to meet any preconditions they might ask for. Above all, we’ll make sure you understand what you’re being asked to sign.
A specialist dental solicitor is essential for your protection. Our fixed fee will help you budget for the costs associated with your purchase.

FAQs
Can you manage the property side of the purchase?
All dental practice purchases involve a connected property, whether freehold or leasehold. It’s an element of the transaction that can slow things down and lead to frustration.
Our dedicated commercial property specialists can handle everything in-house, swiftly and professionally. They will make sure that you are adequately protected after the purchase should serious problems arise. We also help where complex lease negotiations are required with a third-party landlord.
Can you draft partnership, expense share and shareholder agreements?
Yes, we will discuss this with you and ensure we put in place the agreements needed to protect you moving forward.
Whilst all partnerships start with the best intention, it’s important to establish a valid partnership agreement from outset. We can help draft the vital contracts that agree how the practice will be run, how profit and loss will be divided, how expenses will be shared and what happens if a principal retires, becomes ill or dies.
